Will Serial Acquirers Continue their Consolidation of the Printing Industry? – January 2013 M&A Activity

It’s been a case of “Lather Rinse Repeat” in the printing and related industries as the new year gets underway. While many companies are still trying to untangle themselves from the hard times caused by the recession and industries woes, several companies are strategically making acquisitions, integrating the target companies, and shortly thereafter are back into the market as suitors, adding to their conquests.

CCL Industries announced a game-changing acquisition, in a $500 million double header deal acquiring two business units from Avery Dennison, including the well-established Avery brand identity. As reported previously in The Target Report, CCL Industries closed deals in November 2012 and in July 2012. Tightly focused on packaging, and in particular labeling technologies, CCL Industries is expecting to exceed $2 billion in revenues during 2013.

Another powerhouse in the packaging industry, WS Packaging Group, backed by Boston based PE firm J.W. Childs, acquired Label World in Rochester, NY. This marks the company’s third acquisition we have reported in the past six months, including its purchase of another label company in June 2012. This private equity firm clearly likes what it sees as it combs through the packaging industry for attractive candidates.

The Colortree Group, with financial support from Boathouse Capital in Wayne, Pennsylvania, has added Direct Impressions to its previous acquisition of Graphic Innovations, both located in Richmond, Virginia. The company is focusing its efforts on direct mail and related services. In the broader based commercial printing sector, Colorfx continues building a significant regional rollup in Iowa, acquiring Capital City Graphics. With its two other recent acquisitions, the company is reportedly poised to hit $90 million in revenue this coming year.

In the paper products industry, Soundview Paper Company was back in the acquisition mode, acquiring Putney Paper in Putney, Vermont, bolting the northern company onto PE firm Atlas Holdings’ portfolio company, the former Marcal Paper Mills, a recycled paper products mill located in urban northern New Jersey.

The newspaper business continued its steady decline, as the publisher of ten regional titles in Georgia and Alabama, the News Publishing Company, filed for Chapter 11 bankruptcy protection in January. The company announced that it plans to reorganize and emerge from bankruptcy.

Jacob North Printing Company, a commercial and publication printer located in Lincoln, Nebraska, also filed for Chapter 11 bankruptcy, having survived to date for over 120 years, six generations of owners, a stint owned by the local newspaper, as well as complete destruction by fire in 1899. It remains to be seen if this company, with its self-proclaimed “never-say-die-attitude,” can survive the onslaught of digital communication technologies.

We have added a third element to our deal log for non-bankruptcy plant closures. These closures include out-of-court wind-downs and restructurings under state laws, as well as plant shut downs by larger multi-plant firms. In addition to our M&A deal log and record of bankruptcy filings, the listings of these closures are another indication of the ongoing change as the industry right-sizes its production capacity and capabilities to meet the changing demands of the market. Two industry giants, Quad Graphics and 
RR Donnelley, both announced plant closings in January.

Are Commercial Printers Successfully Navigating the Transition to MSP’s? – December 2012 M&A Activity

One of the classic roll-up companies in the commercial print business, Nationwide Argosy Solutions, has added a shop to its holdings, combining its company in Austin, Texas, Cerqa, with another Austin firm, The Whitley Group. Nationwide Graphics, in its prior incarnation, along with Consolidated Graphics and Mail-Well (now Cenveo) was one of the high profile roll-up efforts that pushed up valuation multiples for privately owned commercial printing companies in the mid to late nineties. While not achieving the scale or success of its brethren consolidators from the nineties, Nationwide has stuck to its model, and is back on the deal log in December, apparently ready to grow again after its own downsizing and restructuring during the past several years.

Both of the merged companies, Cerqa and Whitley, according to their websites, are now positioned as multi-channel marketing service companies, even though their roots are clearly in the commercial printing business. Cerqa’s number one offering is its logistics and “Supply Chain Management,” followed by “Marketing and Branding,” with print almost appearing to be an afterthought in its service offerings. Its new partner, The Whitley Group, aka TWG+, touts its multi-channel and interactive services, as well as its print capabilities. Of special note, TWG+ is related to The Whelan Group, aka TWGplus, a specialty marketing firm that assists colleges to identify and attract new student enrollments. These companies all have print in their DNA; they use print as the primary means of connecting their clients to their customers. However, their positioning is not about print; rather these companies appear to have achieved the much talked about transition to becoming marketing service companies.

Walsworth Publishing, a printing company that produces and prints yearbooks, acquired Ovid Bell Press, a specialty printer of publications. Notably, everything about the acquired company says, “we print publications.” There is no mixed message here; the acquired company has a clear and focused product-based strategy.

The label business continues to attract financial investors. Svoboda Capital Partners, a Chicago private equity firm with investments in several industries, all unrelated to print, found a desirable investment candidate in M.E.I. Labels, an Oklahoma flexo and screen printing company that specializes in printing labels for the food industry.

Several copy shops filed bankruptcy in December and a Texas folding box company folded itself. Distress continued to hit the advertising circular business as Mulligan Printing Corp. in Pennsylvania filed for Chapter 11 protection. In a trend brought to our recent attention, distressed commercial printing companies often delay the inevitable by filing for Chapter 11 reorganization, only to liquidate several months later. We know of two companies that have recently filed for Chapter 7 liquidation, handing the keys over to a trustee for final closure, only a few months after their ill-fated, but presumably well-intentioned, attempts at reorganizing under Chapter 11. One of these firms, National Litho (dba National Communications) in Florida, appears in our December bankruptcy log with the conversion of its Chapter 11 to a Chapter 7. National Litho also appears in our December deal log with the sale of its related party, SCP Graphics in Boca Raton, Florida to Southeastern Printing. In another “Chapter 18”, D&R Printing, aka Prestige Graphics, was reported to have filed Chapter 11 in The Target Report in November 2011, and converted to Chapter 7 liquidation in August 2012.
